TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your purchase of, subscription to, access to and use of software, digital products and related services supplied by Moreland Algorithmic Trading Ltd.
In these Terms, “Moreland Algorithmic”, “we”, “us” and “our” mean Moreland Algorithmic Trading Ltd.
“Customer”, “you” and “your” mean the individual or organisation purchasing, subscribing to or using our Products.
By purchasing, subscribing to, downloading, activating or using any Product, you agree to be bound by these Terms.

Moreland Algorithmic develops proprietary algorithmic trading software and related technology.


2. OUR PRODUCTS


Our Products include proprietary automated trading systems designed for use with compatible trading platforms, brokers and markets.


Our current systems may include:


Titan


A proprietary automated XAUUSD trading algorithm.


Orion


A proprietary automated momentum trading algorithm.


We may introduce, modify, rename, update or discontinue Products from time to time.
Each Product page will specify relevant information including supported platforms, intended markets and technical requirements where applicable.


3. NATURE OF THE SERVICE


Moreland Algorithmic supplies software technology.
We do not take custody of customer funds.
We do not operate your brokerage account.
We do not guarantee that any Product will produce a profit.
You retain control over your own trading account, broker selection, capital, leverage and risk settings.
Nothing in these Terms should be interpreted as guaranteeing that the operation of any Product will remain outside the scope of financial-services regulation in every jurisdiction.


4. SOFTWARE LICENCE


When you purchase or subscribe to a Product, we grant you a:
limited, non-exclusive, non-transferable, revocable licence
to use that Product for your own authorised purposes and subject to these Terms.
Unless explicitly stated otherwise, you do not acquire ownership of the Product or any underlying intellectual property.
Your licence does not include ownership of:

  • source code;

  • compiled code;

  • algorithms;

  • strategy logic;

  • proprietary parameters;

  • trading methodology;

  • indicators;

  • trade-management logic;

  • documentation;

  • branding;

  • graphics;

  • databases;

  • research; or

  • other intellectual property associated with the Product.

 

All such rights remain with Moreland Algorithmic Trading Ltd or the relevant rights holder.


5. SUBSCRIPTION LICENCES


Where a Product is supplied on a subscription basis, your right to use the Product continues only while your subscription remains active and paid.


Subscription periods may include:

  • monthly;

  • quarterly;

  • six-monthly;

  • annually; or

  • another period stated at checkout.

 

Your subscription price and billing frequency will be clearly displayed before purchase.
Unless stated otherwise, recurring subscriptions automatically renew at the end of each billing period until cancelled.
By purchasing a recurring subscription, you authorise us or our payment provider to collect the relevant subscription charge using your selected payment method.


6. CANCELLING A SUBSCRIPTION


You may cancel a recurring subscription through the cancellation mechanism provided by us, through the relevant marketplace or payment provider, or by contacting us where appropriate.
Cancellation normally prevents the next renewal.
Unless required otherwise by law or expressly stated in the applicable Product offer, cancellation does not automatically generate a refund for a billing period that has already begun.
Access may continue until the end of the period already paid for.
Your statutory consumer rights are unaffected.


7. DIGITAL CONTENT AND 14-DAY CANCELLATION RIGHTS


Certain customers purchasing online may have statutory cancellation rights.
Where a Product constitutes digital content that is supplied immediately, we may ask you at checkout to:

  1. expressly request that supply begins immediately; and

  2. acknowledge that beginning supply may cause you to lose the statutory right to cancel once the digital content has been supplied in accordance with applicable law.

 

Under the Consumer Contracts Regulations, immediate supply of digital content during the normal cancellation period requires the consumer’s express consent and acknowledgement of the effect on their cancellation rights.
Nothing in these Terms removes any statutory right that cannot legally be excluded.


8. REFUNDS


Except where required by law, payments for Products, licences or subscription periods that have already been supplied are non-refundable.
A refund will not ordinarily be provided merely because:

  • you made a trading loss;

  • the Product failed to achieve an expected return;

  • historical results were not reproduced;

  • market conditions changed;

  • you selected unsuitable risk settings;

  • your broker produced different execution;

  • spread or slippage affected performance;

  • you failed a prop-firm challenge;

  • your trading account was restricted or closed;

  • your VPS or internet connection failed;

  • you no longer wish to trade; or

  • you changed your mind after digital access had lawfully commenced.

 

This clause does not affect rights that consumers have under applicable consumer law.


9. TRADING INVOLVES SUBSTANTIAL RISK


Trading leveraged financial instruments can result in substantial financial loss.
You may lose:
some or all of the capital committed to trading.
Leverage can increase both profits and losses.
You should not trade money that you cannot afford to lose.


10. NO GUARANTEE OF PROFIT


Moreland Algorithmic does not guarantee:

  • profitability;

  • positive returns;

  • any particular annual return;

  • any particular monthly return;

  • any win rate;

  • any maximum drawdown;

  • a particular profit factor;

  • successful prop-firm qualification;

  • successful funded-account retention;

  • future continuation of an historical edge; or

  • preservation of capital.

 

A profitable historical period can be followed by an unprofitable period.


11. HISTORICAL AND BACKTEST RESULTS


Our website or Product materials may contain:

  • historical backtests;

  • simulations;

  • hypothetical results;

  • forward tests;

  • live results;

  • performance statistics;

  • equity curves;

  • drawdown figures; or

  • other historical information.

 

Historical performance is not a guarantee or prediction of future performance.
Backtests are particularly subject to limitations because they simulate trading using historical information rather than reproducing every condition encountered in live markets.


12. DIFFERENCES BETWEEN BACKTESTING AND LIVE TRADING


Actual results may differ materially from historical testing because of factors including:

  • spread;

  • slippage;

  • commissions;

  • swap;

  • latency;

  • order rejection;

  • liquidity;

  • gaps;

  • volatility;

  • execution speed;

  • broker pricing;

  • different data feeds;

  • platform behaviour;

  • market opening and closing times;

  • symbol specifications;

  • minimum trade sizes;

  • leverage;

  • margin requirements; and

  • changes in market structure.

 

Two customers running the same Product may therefore experience different results.


13. PERFORMANCE FIGURES


Unless explicitly stated otherwise, performance figures displayed by Moreland Algorithmic should be treated as examples of historical or simulated Product behaviour.
You must not interpret any performance figure as a promise that your account will achieve the same result.
Drawdown statistics do not represent a maximum possible future loss.
Future drawdown may exceed historical drawdown.
RISK SETTINGS


14. CUSTOMER-CONTROLLED RISK


Certain Products allow you to alter parameters affecting account exposure.
These may include:

  • risk percentage;

  • maximum daily loss;

  • account-protection thresholds; or

  • other risk-management settings.

 

You are responsible for selecting settings appropriate for your circumstances.
Increasing risk can materially increase the possibility of:

  • larger drawdowns;

  • rapid losses;

  • margin calls;

  • liquidation;

  • prop-firm rule breaches; and

  • complete loss of trading capital.

 

15. DEFAULT OR SUGGESTED SETTINGS
Where we provide example, default or suggested settings, these are technical settings and do not constitute personalised financial advice.
A setting that is appropriate for one customer may not be appropriate for another.
You remain responsible for evaluating risk before enabling live trading.


16. PROP-FIRM USE


Certain Products may be technically capable of operating on accounts supplied by proprietary trading firms.
We do not guarantee that any Product:

  • complies with every prop firm's rules;

  • will continue to comply with changing rules;

  • will pass an evaluation;

  • will retain a funded account;

  • will avoid breaching a daily-loss calculation;

  • will be permitted by a particular firm; or

  • will reproduce backtested results on a prop-firm environment.

 

You are responsible for reading and complying with the current rules of your chosen provider.


17. NO PROP-FIRM AFFILIATION


Unless expressly stated otherwise, references to a prop firm are made solely to describe technical testing or compatibility.
Moreland Algorithmic is not necessarily:

  • partnered with;

  • approved by;

  • endorsed by;

  • sponsored by; or

  • affiliated with

any prop firm mentioned on our website.


The same applies to brokers and trading platforms.


BROKERS AND PLATFORMS


18. COMPATIBILITY


Our Products may be designed for platforms including:

  • cTrader;

  • MetaTrader 5; or

  • other supported platforms identified on the Product page.

 

Compatibility with a platform does not guarantee compatibility with every broker using that platform.


19. BROKER DIFFERENCES


Different brokers may produce different trading results because of differences in:

  • XAUUSD specifications;

  • minimum volume;

  • tick size;

  • pip size;

  • trading hours;

  • spread;

  • liquidity;

  • execution;

  • swap;

  • commissions; and

  • pricing.

 

You are responsible for confirming that your chosen account is technically suitable.


20. THIRD-PARTY SERVICES
Our Products may rely upon third-party infrastructure or services.
These may include:

  • cTrader;

  • MetaTrader;

  • brokers;

  • prop firms;

  • VPS providers;

  • hosting services;

  • payment providers; and

  • marketplaces.

 

We do not control those organisations and are not responsible for outages, rule changes, account decisions, data errors or service failures caused by them.


21. NO PERSONALISED INVESTMENT ADVICE


Unless expressly agreed otherwise in writing and lawfully permitted, Moreland Algorithmic does not provide personalised investment advice.
Our Products, website content and documentation are intended to provide software functionality and general information.
We do not assess whether an individual trade or trading strategy is personally suitable for you.
You remain responsible for your own decision to deploy automated trading software.
The FCA distinguishes technology/information services from regulated activities such as personalised investment advice and discretionary investment management, and firms must assess the substance of the activity being carried out rather than simply its label.


22. REGULATORY STATUS


You should not assume that Moreland Algorithmic is authorised by the Financial Conduct Authority unless the website expressly states that it is and provides the appropriate regulatory details.
Nothing on our website should imply entitlement to Financial Services Compensation Scheme or Financial Ombudsman Service protection unless such protection actually applies.


23. OWNERSHIP


All intellectual property rights in our Products remain with Moreland Algorithmic Trading Ltd.
This includes rights relating to:


Titan


Orion


and any other Moreland Algorithmic systems.
Protected material includes:

  • source code;

  • binary/compiled software;

  • algorithms;

  • parameters;

  • execution rules;

  • entry rules;

  • exit rules;

  • indicators;

  • data structures;

  • strategy architecture;

  • documentation;

  • branding;

  • graphics;

  • Product names; and

  • website content.

 

24. PROHIBITED ACTIVITIES


You must not, except where a restriction would be unlawful:

  • redistribute a Product;

  • sell access to a Product;

  • sublicense a Product;

  • rent a Product;

  • share licence credentials;

  • publish protected configuration information;

  • circumvent licence restrictions;

  • copy substantial parts of a Product;

  • decompile or reverse engineer the Product;

  • attempt to discover proprietary strategy logic;

  • reproduce the Product for commercial sale;

  • create unauthorised derivative versions;

  • remove copyright or ownership notices; or

  • facilitate another person doing any of the above.

 

25. REVERSE ENGINEERING


To the maximum extent permitted by law, customers are prohibited from using testing, trade history, repeated simulations, decompilation or other techniques for the purpose of reconstructing our proprietary strategy for commercial exploitation.
Nothing in this clause restricts rights that cannot legally be excluded.


26. LICENCE SHARING


A licence is supplied to the licensed customer only.
It must not be shared with:

  • friends;

  • trading groups;

  • signal providers;

  • customers;

  • other businesses; or

  • unrelated trading accounts

unless expressly permitted by the applicable licence.

27. SOFTWARE UPDATES


We may provide:

  • bug fixes;

  • compatibility updates;

  • new versions;

  • risk-control improvements; or

  • other Product updates.

 

Subscription customers may receive updates while their subscription remains active, subject to the applicable plan.
We do not guarantee that every Product will be maintained indefinitely.


28. STRATEGY CHANGES


Trading markets evolve.
We may alter, improve, restrict or replace strategy components where we consider this appropriate.
Updates may result in different future behaviour from older versions.
Historical performance produced by one Product version does not guarantee identical results from a later version.


29. TECHNICAL INTERRUPTIONS


We do not guarantee uninterrupted operation.
Automated trading may be interrupted by:

  • internet failure;

  • VPS failure;

  • platform downtime;

  • broker downtime;

  • computer failure;

  • operating-system updates;

  • marketplace authentication;

  • software defects;

  • licence-server issues; or

  • third-party outages.

 

Customers using automated systems should monitor their accounts appropriately.

30. ACCOUNT SECURITY


You are responsible for protecting:

  • trading credentials;

  • broker credentials;

  • platform logins;

  • marketplace accounts;

  • licence information; and

  • payment-account credentials.

 

We are not responsible for losses resulting from your failure to secure your accounts.


31. SUITABILITY

Before using a Product, you are responsible for deciding whether automated leveraged trading is appropriate for you.
You should consider:

  • your experience;

  • available capital;

  • leverage;

  • maximum tolerable loss;

  • account restrictions;

  • broker rules; and

  • financial circumstances.

 

32. TESTING BEFORE LIVE USE


We strongly recommend testing software in an appropriate demo or non-live environment before deploying it with material live capital.
Past testing does not eliminate live-trading risk.

33. LIMITATION OF LIABILITY


To the fullest extent permitted by law, Moreland Algorithmic Trading Ltd is not liable for:

  • trading losses;

  • loss of investment capital;

  • failed prop-firm accounts;

  • lost profits;

  • loss of opportunity;

  • broker decisions;

  • slippage;

  • platform outages;

  • third-party failures;

  • indirect losses; or

  • consequential losses

arising from or connected with the use of a Product.


34. LIABILITY THAT CANNOT BE EXCLUDED


Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
Nothing in these Terms affects mandatory consumer rights.


35. CUSTOMER MISUSE


We are not responsible for losses caused or increased by:

  • excessive risk settings;

  • unsupported modifications;

  • incompatible brokers;

  • incorrect installation;

  • manual interference with trades;

  • running conflicting software;

  • inadequate margin;

  • unusual leverage;

  • ignoring technical requirements; or

  • breach of third-party trading rules.


36. SUSPENSION

We may suspend access where we reasonably believe there has been:

  • non-payment;

  • licence sharing;

  • fraud;

  • unauthorised redistribution;

  • attempted circumvention of licensing;

  • intellectual-property infringement; or

  • material breach of these Terms.

 

37. TERMINATION


We may terminate a licence for serious or repeated breach.
Termination of a licence due to misconduct does not automatically entitle the customer to a refund.
Any statutory rights remain unaffected.


38. INFORMATION ON OUR WEBSITE


We aim to ensure information is accurate but trading products and market environments change.
We may correct:

  • typographical errors;

  • outdated statistics;

  • technical descriptions;

  • compatibility details; or

  • other website information.

 

39. REVIEWS AND TESTIMONIALS


Customer experiences may differ significantly.
Reviews, testimonials and examples represent individual experiences and should not be interpreted as guarantees of results.


GENERAL TERMS


40. CHANGES TO THESE TERMS


We may update these Terms where reasonably necessary because of:

  • changes in law;

  • changes to Products;

  • security requirements;

  • technical developments;

  • marketplace requirements; or

  • business changes.

 

The current version will be published on our website.
Where a material change significantly affects an active subscription, we will take reasonable steps to notify affected customers.


41. SEVERABILITY


If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in force.


42. FAILURE TO ENFORCE


A failure by us to enforce a provision immediately does not waive our right to enforce it later.


43. TRANSFER


You may not transfer your rights under these Terms without our written permission.
We may transfer our rights and obligations as part of a legitimate corporate restructuring, acquisition or sale, subject to applicable law.


44. ENTIRE AGREEMENT


These Terms, together with any Product-specific terms, privacy policy and checkout information, constitute the agreement governing your use of our Products.


45. GOVERNING LAW


These Terms are governed by the laws of Scotland.
If you are a consumer resident elsewhere, you may also benefit from mandatory legal protections applying in your country of residence.
